TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the services, software, models, dashboards, APIs, and related websites provided by Exona Ltd. ("Exona", "we", "our", or "us"), including https://exonalab.com (the "Service").
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Scope and Eligibility
The Service is intended for business and professional use. You represent that:
- you are at least 18 years old;
- you have authority to bind the entity on whose behalf you use the Service; and
- your use of the Service complies with applicable laws, regulations, and contractual obligations.
2. What the Service Is (and Is Not)
Exona provides AI risk intelligence, analytics, and decision-support tooling for insurance and risk teams.
Unless we expressly agree otherwise in writing:
- Exona does not act as your insurer, broker, agent, MGA, law firm, or investment adviser;
- outputs are decision-support information and should be reviewed with your own underwriting, legal, actuarial, and compliance judgment; and
- final decisions on underwriting, coverage, pricing, claims, placement, and regulatory matters remain with you.
3. Accounts and Security
You are responsible for all activity under your account credentials. You must:
- keep credentials confidential;
- promptly notify us of any unauthorized access or security incident; and
- provide accurate and current account information.
We may suspend or restrict access where necessary to protect the Service, customers, or third parties.
4. Customer Data
You retain all rights in data, content, and materials you submit to the Service ("Customer Data").
You grant Exona a limited, non-exclusive right to host, process, transmit, and use Customer Data solely to provide, secure, support, and improve the Service in accordance with these Terms, our Privacy Policy, and any written agreement between us.
You represent that you have all rights and permissions needed to provide Customer Data and that its use by Exona as permitted here will not violate law or third-party rights.
5. Data Handling and Compliance
Each party will comply with applicable data protection and insurance-related laws relevant to its role.
If required by law or contract, you are responsible for obtaining consents, notices, and legal bases for Customer Data before submitting it to the Service.
Where required, the parties may execute additional data processing terms.
6. Intellectual Property
Exona and its licensors retain all rights, title, and interest in the Service, including software, models, designs, documentation, and all related intellectual property.
Except for the limited rights granted in these Terms, no rights are transferred or licensed to you.
7. Acceptable Use
You may not:
- use the Service unlawfully or to violate the rights of others;
- reverse engineer, decompile, copy, or attempt to extract source code or model internals except where prohibited by law;
- interfere with or disrupt the integrity or performance of the Service;
- use the Service to build or benchmark a competing product without our prior written consent; or
- upload malicious code, deceptive content, or data you are not authorized to share.
8. Third-Party Services
The Service may integrate with third-party tools, data providers, cloud infrastructure, or payment processors. Exona is not responsible for third-party services or content, and their terms may apply.
9. Fees, Billing, and Taxes
Paid features are billed as described in your order form, subscription plan, or online purchase flow.
Unless stated otherwise:
- fees are due in advance and non-refundable;
- subscriptions renew automatically for successive terms; and
- you are responsible for applicable taxes, duties, or similar charges, excluding taxes on Exona's net income.
We may update pricing on renewal with reasonable prior notice.
10. Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it using reasonable safeguards at least as protective as those used for its own similar information.
Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law.
11. Availability and Changes
We continually improve the Service and may modify features, functionality, or technical requirements.
We aim to provide reliable service, but uninterrupted or error-free operation cannot be guaranteed. Planned and emergency downtime may occur.
12. Warranties Disclaimer
To the extent permitted by law, the Service is provided on an "as is" and "as available" basis. Exona does not make implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or guaranteed output accuracy.
13. Limitation of Liability
To the extent permitted by law:
- Exona is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity;
- decisions made using Service outputs remain your responsibility; and
- Exona's total liability arising out of or relating to the Service will not exceed the amounts you paid to Exona for the Service in the 12 months before the event giving rise to liability.
These limitations apply regardless of legal theory, except where liability cannot be limited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Exona and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, and reasonable costs (including legal fees) arising from:
- your use of the Service in violation of these Terms;
- your Customer Data; or
- your violation of applicable law or third-party rights.
15. Term, Suspension, and Termination
These Terms remain in effect while you use the Service.
We may suspend or terminate access immediately if you materially breach these Terms, create security or legal risk, or as required by law.
You may stop using the Service at any time. Sections that by nature should survive termination (including payment obligations, IP, confidentiality, disclaimers, liability limits, and dispute provisions) will survive.
16. Governing Law and Disputes
These Terms are governed by the laws of England and Wales, excluding conflict-of-law principles.
The courts of England and Wales will have exclusive jurisdiction over disputes arising from or related to these Terms, unless otherwise required by mandatory law or agreed in a written enterprise contract.
17. Changes to Terms
We may update these Terms from time to time. If changes are material, we will provide notice (for example, by posting an updated date above or by account/email notice where appropriate). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
